| YEAR EVENTS The Company was incorporated on 18th February 1943. It was converted into a private limited company on 10th May 1966. The Company was reconverted into a public limited company on 12th November 1971. The Company started its operation as a part of the Thackersey Group of Companies on a small unit manufacturing army tentage. After the second world war, the company commenced manufacture of linseed oil and Nitrocellulose coated fabrics for all types of upholstery. Soon the company developed polyvinyl coated fabrics made for the first time by Indian machines under the brand name`Raja'. A new calendering plant making PVC films and sheets was commissioned in the mid fifties at Cadell Road in Mumbai.The Calandering plant also launched the first laminated floorings 'Vynatile' at Cadell Road. 1970 - A plant manufacturing `Vinyl Flooring' was set up at Baroda. The tiles were marketed under the brand name `Marblex' with technical know how from Tajima Inc, Japan. Also facilities for the manufacture of polyurethane leather cloth - man made leather was set up. - The Company obtained technical know-how from Konrad Hornschuch AG Germany for increasing the range of polyurethane fabrics. 1983 - The Management of the company was taken over by the Tannas. Being the leading manufacturers of processed plastic goods its range helped catering to various requirements such as soft upholstery manufactured under the brand name "Europa" ladies hand bags, school bags and flooring materials. 1989 - The Company promoted Bhor Wavelock Industries Ltd. for the manufacture of reinforced PVC films and sheting with technical know-how from Japan wavelock Japan at Satara in Maharashtra. 1993 - The Company undertook to replace old equipments to upgrades facilities at Bhor and Borivli. It was also proposed to raise the shearing capacity for fabric at Bhor to raise the products of leather cloth. - At Borivli, the existing resin mixing and feeding system for the calendering line was modernised. - The present manual system for feeding the mixe and kneader was replaced by automatic systems. Further balancing equipments were installed to raise the calendering line capacity that converts PVC resins/compounds into films and sheetings to 10500 tpa from 7500 tpa and that of foamed leather from 77 lmpa to 97 lmpa. - New coating line was imported from Europe, three raising machines and one shearing machine. Other machines were procured indigenously. 1994 - The company emphasised on marketing of value added branded products. The Company optimised product-mix to achieve better productivity. The company took over the fixed assets of Bhor Wavelock Industries Ltd., to manufacture marblex supreme and Vyunaroll floorings. Moreover coating line imported from Hungary was also set up at the same location for manufacture of PVC and PU coated products. 1996 - A switch in emphasis was visible from supply to Institution and OEs to individual consumers especially with regard to marblex, tapes and wall paper. - Laxmi Feeds & Exports Ltd. was amalgamated with the company. As per the scheme of amalgamation, 6,07,200 No. of equity shares were allotted to the erstwhile shareholders of the amalgamating company in the proportion 5 shares of Bhor Industries Ltd. to every two shares held by them in the erstwhile company. - 40,400 shares allotted to promoters. 25,04,800 shares issued as bonus shares in prop. 1:62 on 12.11.1971. 24,45,200 Rights equity shares issued in prop. 1:1 on 28.8.1992. During January 1993, 12,72,600 No. of equity shares at a prem. of Rs.60 per share were allotted through prospectus. During November 28, 1994, the company issued 31,81,500 bonus equity shares in prop. 1:2. 6,07,200 No. of equity shares allotted to the erstwhile shareholders of M/s. Laxmi Feeds and Exports Ltd. |
