Hi-Tech Laminates Limited (HLL) was incorporated under the Companies Act, 1956 on 12th July, 1988 and obtained the certificate of commencement of business on 18th May, 1992, with the main objective of manufacturing and dealing in decorative and industrial laminates. HLL had initiated the process of setting up the project during which time the controlling rights in RPL were offered to HLL. This has helped HLL to save considerable time and cost involved in establishing a new unit and also to expand the existing facilities. Also, HLL had not undertaken any manufacturing activities till then, its only income generation being by way of interest on loans given to RPL.

The Company acquired Rosewood Polymers Limited an existing unit on March 8th, 1994, the promoters of which wanted to sell their fully operational unit at Achhad, Thane. RPL was incorporated on 26th August, 1986 for manufacturing industrial and decorative laminates at Village Achhad,
Taluka Talasari, Thane District in Maharashtra and the unit had started commercial production in July, 1991.

The present issue is to finance the expansion of production facilities of RPL and also for creation of infrastructural facilities for marketing laminates produced by RPL.
