| YEAR EVENTS 1933 - The Company was Incorporated at Calcutta. The Company's object is to manufacture of sugar by double sulphitation process. - Darbhanga Marketing Co., Ltd. and Searchlight Publishing House, Ltd. (Formerly The Behar Journals Ltd., Patna) are subsidiaries of the Company. The entire issued capital of 34,72,040 No. of equity shares of Re.1 each of the former and 500 pref. of Rs.100 each and 1,10,161 No. of equity shares out of 1,25,450 No. of equity shares of Rs.10 each issued by the latter are held by the Company. 1944 - Authorised capital increased 10,000 5 1/2 redeemable pref. shares issued redeemable at par at any time on giving 3 months notice. 1946 - Authorised capital increased. Forfeited 2,500 No. of equity shares reissued during the year. 1951 - During the year 30,000 Convertible pref. shares converted into Equity shares in the prop. 1:1. 1966 - 78,910 bonus equity shares issued in the prop. 1:1. 1973 - 78,910 bonus equity shares issued in the prop. 1:2. 1981 - 118,365 bonus equity shares issued in the prop. 1:2. 1983 - 8,361 - 5 1/2 pref. shares redeemed. 1984 - 50 - 5 1/2 pref. shares redeemed. 1989 - Consequent upon the amalgamation of Bharat Sugar Mills, Ltd. with the Company with effect from 1st April, Saran Trading Co. Ltd. became a wholly owned subsidiary of the Company. - Bharat Sugar Mills Ltd. was amalgamated with the Company with effect from 1st April. As per the scheme of amalgamation, the Company issued 1,103 - 5% Cumulative Redeemable Preference shares of Rs.100 each in the ratio of 1:1 and 1,12,500 fully paid equity shares of Rs.10 each in the ratio of 1:2 to the shareholders of the amalgamated company. 1995 - During 25th September, the Company allotted 88952 - 9% cumulative convertible pref. shares (CCPS) of Rs.100 each at a prem. of Rs.700 per CCPS to augment the longterm working capital requirement to strengthen the capital base of the company. 88,055 CCPS issued. 2008 - Company name has been changed from New India Sugar Mills Ltd to New India Retailing & Investment Ltd. |
