KND Engineering Technologies Ltd. Company History and Annual Growth Details

The Company was incorporated on 7th June 1982 as a Private Limited Company under the name K N Dadina Private Limited. The Company became Public Limited Company in terms of a special resolution passed on 9th October 1991 and consequent upon with the conversion, its name was changed to KND Engineering & Technologies Ltd. with effect from
15th October 1991. On 21st August 1992 the Company changed its name to KND Engineering Technologies Ltd.

MAIN OBJECTS OF THE COMPANY

The main objects of the Company as set out in its Memorandum of Association are:

(1) To carry on the business of and act as consultants for in and out of India special foundation work including piling, foundation treatment, soil stabilisation,tunnelling. construction of diaphragm walls, jetties,
docks, harbours, airfields, bridges, industrial complexes and other special jobs including special civil construction and/or other civil engineering on-shore and off-shore works.

(2) To carry on the business of and to supply bricks, sand, cement, steel, timber, hardware, oils, spares for construction machinery to or for performance and execution of any contract for any and all Civil, Pvt.W.D., Military, Army, Navy, and Air Departments, of Central and/or
Provincial Governments and to and for any Railway, Municipalities, Corporations, Oil Companies, Local Authorities, Port Trusts, Posts & Telegraphs Departments,Electric, Gas, Telephone and Water Works and Undertakings, whether owned by any Government or by Corporations, Companies or Private Firms and individuals.

Pursuant to the special resolution passed under Section 149(2A), at the Extraordinary General Meeting held on 8th September, 1995, the Board has decided to commence the business mentioned in the Other Objects of the Memorandum of Association and the required documents have been filed
with the Registrar of Companies, West Bengal at Calcutta. With a view to broad base the Objects Clause, the Company has passed a special resolution at the Extraordinary General Meeting held on 8th September, 1995 for alteration of its Objects Clause and the same has been confirmed by the Company Law Board, Eastern Region Bench, Calcutta vide
their order dated 8th April 1996.

PRESENT ACTIVITIES OF THE COMPANY

BUSINESS

Till 1980, KND concentrated solely on activities related to geo-technical investigations. Over the years, it has diversified into fields like piling and foundation engineering. This is a precision field involving an elaborate study and analysis of factors like soil and water composition and seismology.

KND has been associated with several major Indian construction companies for their foundation and piling contracts. These assignments have covered infrastructure sectors like bridges, roads, railways, power transmission and plant erections.

Major projects successfully implemented by KND over the years are :-

* TISCO, Durgapur, Rourkela steel plants modernization
* Tower foundation for 440 KVA Transmission Towers at Borivili-Goregaon for SAE Ltd.
* Foundations for Malavika Steel Plant
* Foundation for co-generation plant of ONGC at Hazira
* Specialized tunneling work for Calcutta Metro
* Geo-technical studies for HBJ Pipeline

The present business of KND Engineering Technologies Ltd. can be classified as follows:-

Consultancy Services for :-

* Land and offshore geo-technical investigations, engineering and ground water surveys
* Data collection analysis
* Analyzing and designing structures, machines, foundations for nuclear, thermal, fertilizer, chemical, cement, coal plants and port/harbor projects.
* Analyzing and designing RCC and pre-stressed concrete bridges
* Analyzing and designing steel structures
* Restoration designs for distressed structures

Contracting Services for :-

* Pile foundations for multi-storeyed buildings, steel plants, bridges & all types of heavy structures.
* Grouting and anchoring for soil stabilization and dams
* Specialized constructions like basements, jetties, walls, roads, bridges, drilling and metro boxes.

To make the optimum utilisation of the expertise and resources available, the Company has decided to diversify into Real Estate Development. The Company plans to construct commercial and residential complexes using state of art technology for construction and modern car parks facilities.

KND is in the process of obtaining a ISO 9001 Certification. This should help the Company position itself in order to undertake bigger projects in India and abroad, thereby carving a niche segment for itself.

-Mr. Pessi N Dadina has been appointed as the Chairman & Managing Director of the Company at the aforesaid meeting of the BOD with effect from November 20, 2003.

- Members approve delisting of shares from Ahmedabad and Madras Stock Exchanges.
